As you can imagine one of the questions I've been asked constantly over the past couple of months is how would the pandemic impact boingo.
<unk>, we have always known and what is now becoming clear to everyone is how durable boy and go is as a business.
For starters.
Important to understand that approximately 95% of our revenues are either contractual or recurring.
You can imagine this provides a great deal of stability and resilient.
The second point is that because boy and go was deemed essential business, we have been able to not only support our existing wireless networks.
Continue to build out new neutral hosts networks at a time when many other companies are not as fortunate.
Construction on R.M.T.A. east side access.
Long Island railroad projects continue.
We have understandably been impacted by crew availability from time to time, but importantly, these projects continue to March forward.
The same is true for our multi family business every construction project into works is moving forward or are only temporarily go right.
For a balance sheet perspective, we have ample liquidity and are seeing good activity on the accounts receivable front, we will continue to use cash flow to fund our network builds where we have carrier commitments and have access to Apple capital through our cash balance and credit facility if needed.
In recent events.
The decision we made to restructure the business at the end of 2019 was even more prudent then we could have imagined and we are already benefiting from the approximately 11 million and costs savings we expected as a result of the realignment and 2020.
We like everyone have been challenged by covert 19, but the big picture is at Boeing go plays in a critical space delivers a vital solution and is supported by a business model, which is almost all contractual recurring revenue.
No one can fully be fully prepared for or predicted nature duration or scope of the over in overall impact of a once in a century global pandemic, but we believe that all things considered lingo may emerge from this period with velocity.

For the first quarter of 2020 revenue was 59.9 million and adjusted EBITDA was 18.7 million.
As a reminder, due to the recent announcement, they're born goes engaged with multiple parties regarding a potential strategic transaction, we did not provide guidance for this period.
Our results were in line or ahead of our internal plan and would've been $1 million to $2 million fire for the quarter without the impact of covert 19.
Each of our core lines of revenue carrier services military and multi family delivered salad solid performance for the quarter. Let me give you just a few of the highlights for each starting with carrier services.
For Q1.
Carrier services, which is primarily comprised of data and carrier off load experienced minimal impact you revenue during the quarter due to cope with 19 as I mentioned earlier construction on all of our key projects continues unabated.
And or P. activity level is very hot.
We've added 1400, new dad's notes in the quarter, bringing our total doesn't those life to 39500.
In addition, we've had at one new dad's venue to our backlog for a total of 61 dad's venues and back on.
We were also awarded for new venues, which we expect to add to the backlog over the next few months as we execute these agreements with our venue partners.
Our new venue sales pipeline remain strong and our backlog provides going go a tremendous amount of runway to build out over the next 18 months to two years.
Finally, we had three venues where a carrier joined the network during the quarter.
These include Portland International Airport.
Louie Armstrong, New Orleans International Airport, and the Solaris amphitheater in Atlanta.
In addition to new bills, we continue to work with our carrier partners upgrade existing networks to five g.
During the first quarter, we completed a five do you upgrade from one of the carriers at Detroit International Airport, which is a very exciting accomplishment.
Based on our experience this quarter, we anticipate continue by G. upgrade work to continue with all three major carriers.
We continue to believe that the completion of the T. mobile sprint merger isn't it positive for boy go and we anticipate that T. mobile aggressively accelerate the pace of their network investments as we get deeper into 2020.
And finally, one <unk> important point to consider in terms of the durability going goes business model is that carrier also contracted primarily shifted to be fixed not usage based although airport occupancy was down significantly in the latter half of Q1. This did not impact carrier off load revenue.
Now, let's turn the military we added 4000, new beds in the quarter bring our total beds deployed to 359000.
We had to 2000 military subscribers in the quarter for a total of 135000 military subscribers.
Overall penetration was a bit lower than we anticipated during the first two months at a quarter. We did see sales pick up significantly in March.
We've also been responding to many private service requests. During this time frame is our military customer seek to add connectivity solutions across the basis, we sir.
Also throw to announce that we have complete a construction on the first two cell sites on a military base this quarter inner simply awaiting the carrier could be plugged it.
This is the first of what we anticipate will be many macro towers and small cell sites on our military base footprint. At another example of the value of our long term contract with a piece of M.C.C.S.
I mentioned at the top of my remarks that we have made complimentary wipe I service available to more than 10000 quarantine beds I military bases, we sir and it's made a huge impact on our soldiers airmen and Marines.

This obviously enabled them to stay connected to their families and friends and they just two week period much easier to bear you're amazing support during this unprecedented time was absolutely invaluable the 10th Mountain Division is proud to have you as a partner in France.
We appreciate this letter from Brigadier General Schmidt and will continue to support our military partners in whatever way, we can during the pandemic M.B. on.
Turning out a multi family.
We had a number of wins during the first quarter.
We executed five new deals representing over 2700 new beds.
We were student housing complexes into were conventional multifamily properties.
Well no one can be certain about how cope with 19 will impact college campuses in the coming months.
The early feedback we are currently receiving from schools across the country does that they expect to reopen their campuses starting in August.
Albeit with social distancing in place this bodes well for the student housing multi family properties, we serve as they depend on occupancy to drive breaths before.

First just a few days ago, the F.C.C. it out their intention to allocate a significant amount of spectrum in the six gigahertz band for unlicensed use the biggest spectrum addition, since the F.C.C. cleared away for white by in 1989, and four times the size of the current two dot five in five megahertz bad.
This bandwidth will mean, a lot less interference for the new devices that we will be built to take advantage of it.
It will mean much faster speeds and lower latency supercharging future innovation.

The decline and multifamily construction revenue was due in part to a sales mix shift, resulting in less sales and our traditional multi family model with non recurring construction revenue along with occurring service fees.
We're now seeing an increase of sailed from our Blanco funded model, which I'll refer to as our network as a service multi family product.
Our customers like the flexibility of this product as isn't all inclusive monthly fee to provide a high quality robust networking throughout the property.
The network as a service product results in higher recurring service fees Oprah much longer term as compared to the traditional type yelling product offering.
In the near term, we continue generate strong recurring service p. revenue from our portfolio, a 236 multi family properties.
The decline in the military vertical was primarily due to a decrease in subscribers.
Which was partially offset by increasing average monthly revenue per subscriber.
Despite the declines subscribers during the quarter, we experienced and increasing subscribers and uses at the end of Mark a trend that has continued into the second quarter.
During the first quarter, we built out our network to cover an additional 4000 military beds bring our total footprint at 359000 military beds I was at March 31st.
In addition is Mike highlighted we are working hand in hand with their military partners to provide high speed wireless connectivity to our soldiers directly impacted by the cope with 19 pandemic across the military corporate.

Network access costs totaled 28.8 million, representing at 8.4% decrease over the first quarter 2019, primarily due to decrease multifamily construction and support fees and lower depreciation expenses related to fixed assets from her dad's build our projects.

As our core business continues to generate significant cast from operations, we still believe investing the majority of our free cash flow didn't networked appointments is the best use of capital to drive long term growth in greater recurring cash flows.

First on the does no it's actually.
It really has an impact that it's there much at all we've had.
Been able to get a lot of work done you know because we we have a lot of people not traveling both on our side and the people we're partnering with so.
You know getting those built out.
We've we've been really good shape, there and I think we feel pretty good about you know the going forward. You know if this goes you know a lot longer you go well into the end of the early next year when you're trying to bring networks up you know when you have to do tests and things like that then you get a little more dependent on you know the operators and things and and you know bringing people into.
Certain locations, but as far as you know kind of the velocity is a business and yeah, we mentioned dark p. activity and things and getting things done it's actually been really good on that side and the M.T.A. <unk>. That's that's continuing to work and I you know I know for anybody to to New York in you know if you're following that obviously a daily.
You know the the impact it had in New York City in the surrounding area, but specific to that we've had a really just minimal distraction, there or or you know people not working and the fact that some of the trains aren't running it's actually enabled us to get you know some work done.
Faster and a little bit ahead of planning schedule, so things seem to be going pretty well, there and and we feel you know really good about that parts of that at least coming online. This year and then last piece the sites on the base.
Yeah. It's the first two they're not a test it's not a trial. It's it's you know a plan a and work that we feel were.
Not only qualified and capable to do but you know something the military needs at once and so we've you that you know we're on 64 bases. You know we've you that is a real opportunity.

So we you you know we are obviously in in direct contact with our been you owners and the day, we have not had them come to US now is a reminder, Greg on the venue on her side for the most part we are paying them in the form of a revenue share. So there you know think of them as someone weird.
<unk> network and then we're providing a service at that location. So we give them a portion of the revenue that we receive but but no in general our customers have you know they continue to pay we're obviously monitoring this it's a unique unprecedented time, but our customers I'd have been been good and they've been cause you to pay for the services we provide.

We think about Boingos core business being minimally impacted within 95% contractual recurring revenue is but but I guess what aspect of the business you expect to have the greatest impact.
[noise] yeah. So it's it's the part of the business. It has the most impact related covert is what you would expect it's really related to travel so that would be you know the the contibel either we provide in airports given that airport travel is down to meaningfully so that that'd be the retail portion of our business and the advertising portion yeah.
To give you a little bit color.
We have done a good job on on AD sales and as as you saw an AD sales you know you're you're over here is up significantly up over a fork over 45 per cent. We actually are in a situation right now where you know going forward. We have more ads sold in cuter than we think we may have been mentor you deliver given what we're <unk> we're projecting.
For traffic going through through airports. So it's a unique spot and it didn't think we ever see that but travels come down meaningfully and.
And the customers that we serve still see the value of what we're providing.
Okay got it and last one for me would just be you know if we could get an update on the back from the T. mobile sprint merger as your outlook on that impact from this merger changed any way over the last couple of months.
So it really hasn't I I'd take away I'll give those guys a lot of credit I mean for you know all the time it took to bring that together and for it to kind of formerly come together right in the middle of covert I feel for making that building the team, but they've done a fantastic job.
And and no yeah, I think we see a lot of opportunity there they've been you know very aggressive I think coming out of the gates and it's been kind of impressive to see how they've executed and you know again, we we work you know with you know numbers of customers and and if you think of travelers and things like that you know.
And they've come together and now they're just bigger than they were so we we continued to work with them and.
We feel still feel very confident about you know that being kind of a net positive for blowing up.

Yeah, we we did they the sub bands actually happened a little later in the quarter that we initially anticipated usually we see this come back right towards the very beginning of the of Q1 and this case it happened a little bit later, and then picked up even a little bit more as we you know got towards the end of March and the activity in usage of around cobin increased.

And it is as Mike commented on we're providing now service to the soldiers on base. There's there's over you know 10000 beds were covering today for soldiers were in quarantine in one form or another and that's that's complimentary service. So obviously revenue would be up more if that was a page service, but you know that's not something we're doing right now because we're trying.
To help out how about our troops.
And then just on the on the wholesale White Buyside <unk>, you know year over year, you saw a million three or so the client mobile less.
Is that declined mainly the wholesale why portion versus the Oslo portion 'cause aren't do you still have sort of minimum takes with your to carry partners the opposite sex.
Yeah. So so give me a little color there so off load <unk> with the carriers is up both year over year in sequentially. So yeah, not not dramatically up sequentially, but it is up so the entire declined his all related to comfortable mango and and specifically the phasing out of American Express.
So we we continued to provide value in the awkward front in fact, it's important to call out even though.
Footprints that we have on on a and the traffic that's happening on in airports is down as you expect also traffic is down meaningfully in airports, but traffic is up meeting flew as well and military bases and so were in aggregate overall traffic Roth laws, it's down but not down as much as one would think given coding.
Okay and then just lastly, just on the retail side you know as we sort of think about that Nick declined. Obviously saw you almost a million dollars your beer and about 300000 sequentially, you're trying to stir lay that hour over time, you know the anticipation.
That continues to decline in you know is there a base level at which it stops where you feel like there's just a recurring revenue portion of six or 7 billion, but just stays there.
Yeah, we we believe that in fact, what's interesting is because we've gone through you know obviously do couponing that even as we analyze where we are today, it's less about customer's going away churning away. What we're just not seeing is the new customer additions as much because the main way we acquire customers is out of venue and so when there's less <unk>.
Oh, you're seeing less customers seeing the opportunity to sign up at the venue. So that's I I. So I think that the decline is really not adding new customers is versus losing the base.

Yeah that'd be great.
Yeah. So what we're really talking about him is just the impact we believe we saw in the quarter around and primarily tied to advertising and retail mean that we did see that start to drop off precipitously towards the the last part of March.
As I you know just briefly mentioned we had a scenario where now and Q2, we have more AD sales sold them. We believe we have been the Tories deliver and that was absolutely. The case geared towards the last part of March we had more campaign sold we had add one to deliver but as traffic went down and the majority of our advertising Ah traffic happens on at work.
Happen at airports when that goes down with there's just less campaigns to serve so it's it's mainly around that gets not around our wholesale business. It's not around military you know, it's not about dad's is not runoff load obviously co bad it impacts everything I mean.
We are all impacted in our daily lives, but as it comes to our business, particularly and where where we see more direct impact it's around retailing advertising more than anything else.
Got it so it is just a good run rate of revenue 60 million. It sounds like you had at the you know exited the quarter [noise] below that somewhat I mean, I know, there's a million moving parts on construction revenues and it changes and amortization and you know changes in how you structure. These contracts I I know some million would be parts, but it sounds like the does.
Run rate you know as it is a little above where you know where it really is at this point.
Yeah, I think that that's a fair assumption and and as you know talked about in the past with with with you and others. You know really should think up one goes runrate type business and so this it's fair to think about this being a place that we should be you know growing up on.
Right and then last night I know you kind of answer just specifically to multi family do you expect <unk>. The <unk> the Wolf specifically the college housing the kind of come back in August September in you know if it doesn't you know do they have a way to stop paying for broadband if they're not using it it seems like a lot of these venues are not using the broad band then you know if it goes on for another 12 months or so.
Do they have a way to pause to contract.
Yeah, So I'll take that yeah.
We we we're anticipating from what we're hearing we set it nor remarks.
You know that schools are going to open and you know housing there's actually you know still a lot of kids that are there now you know because you have international students a lot of different things that you know they've they've had to go so but the answer your question I think you have to schools don't open I think that does have some impact obviously on the the property.
Owners, but you know we have longer term contracts and you know look will be good partners will work with these entities and you know I think one of the things we're seeing in in Kobe in you know in a number of people I'm talking to a number of friends that are in you know multiple different businesses is you know everybody's impacted by this and everybody wants to work together to.
Make sure that their businesses, you know move on and survive and do well. So yeah. We'll we'll we're prepared for that if it happens.
But you know we're hoping it doesn't for all the obvious reasons, mostly that everybody is you know doing well and unhealthy, but but we're prepared but that and then we'll be a good partner.

Those benefits were seen in the first quarter does it go lower than that in terms absolute dollars in to the second quarter and just to clarify on the death to access fees of 8.2 million I know there are minimum is in there is that basically at the minimum level now so that is a solid number to think about going forward and then a couple of follow up.
Sure. So on the <unk>, yes, the vast majority of the you know the the savings that we identified the so called the $11 million annual lies the vast majority of data has been realized as of Q1. So that the program. The portion of course, so you should be thinking this is as again as a run right.
In fact, probably even a little hiring Q1 as we have you know more audit fees that happened on the G.A. side and Q1 than some other periods.
In terms of the Daz access fees.
Yes. This 8.2, we should be seen growth from there.
Q1 is always a little lower than than queue for due to the there is an element of usage based on on access fees with us not a lot as as we renegotiate some contracts over the years, but there there was a step down and due to the to the uses based portion but throughout the year. We we expect.
The 8.2 million of access fees to grow.
And and to follow it Mike sounds like things are going very well from from a dentist appointments standpoint, it doesn't actually sound like there's been much of a slow down on that front over your own Peter to ability as well it sounds like you're <unk> pipeline is pretty active you've got sprinting most sound like they're coming back I'm wondering if he could expand on that a little bit in terms of your ability to close.
Or a piece of the current time sounds like there's an act of pipeline ordeals getting close and how they factoring in five g. could you give us some.
Idea of what that composition is looking like and also the competitive landscape, they're given that others are impeded in terms of their ability to deploy right now what does that translating to in terms of when rate.
Yeah. So great question to Scott. Thanks, So yeah, we've seen really no <unk> interruption in in the Dad's builds and and I think your questions more long new contracts. We we came out of last year quite honestly with with a lot of activity and as you know we made.
Some changes at the end of the year, we've got a really focused people in three main areas of our business and dads and working with the operators and venues was one of them. So we came into the quarter with with a lot of activity going and we've seen that expand we're we're adding some sales people. So like I said earlier I think.
I'd have a strange thing, but you know with a lot of the.
Multiple people, we need to work with to get things done and with so many people staying in place and not traveling on the contractual side, we were able to get things done at a pretty expedient manner matter. So.
If there's any impact at all that we we we're we've seen is on a few of the or F.P. that were in progress. They may get moved back a little bit depending on the segment in the vertical you know, but I'm talking you know two weeks or 30 days potentially.
On the flip side of that if there's new venues or new opportunities there actually moving very fast because they they view this as an opportunity to get some stuff done you know when a there then you may not have you know won't be having people in it. So and then the activity of the bills and stuff is continued to to stay there. So you know the carries had been great to work with the five g. side.
I think they've all come out and highlighted how important it is to them and how they want to move through this year and I think couple of him even highlighted they would use this time they may be expedite some of those activities in of course, we'd be working with them on that and then on the competitive landscape. You know you know look we we worked with a in a competitive said, but our our.
The actual when rate has gone up slightly we've always had a good when rate in the 40% to 50% range and and we've seen in the first part of the year that that that's a little bit higher than that so you know on that side of things a lot of activity.
You know a lot of new opportunities and you know we're on them in they they seem to be moving along quite well it might just one less follow up there on the five g. front, and maybe Oh feather seabear us into that discussion as well starting to ramp up this year. Despite the fact that the auctions got moved back about a month or or is is that starting to entered the dial.
Log as well do you expect any deployments.
From a <unk> standpoint, and is there a target that you would start talking about in terms of five g. or <unk> or private networks and neutral host opportunities that just start to look out to the end of this year and into 2021. And there's there's a lot that's happening right now as I mentioned that my remarks, we've added my zito to lead our <unk> our strategy, but also emerging business and he's really going to be focusing a lot on C.B.R.S. private L.T.E. and and you know everything that comes associated with that working with different partners and things like that.
So we're we're optimistic on that you know mikes background, you know he's he's basically you know created some businesses and and then brought them to life and that's what we kind of see here. Obviously, we think there's some opportunities in or existing businesses that this would be add on obviously when you're talking about five g., but on the the new opportunity.
For C.B.R.S. private network, you know smart cities I.O.T. things like that.
There's there's quite a bit going on in activity, yeah, you're probably not going to see much of that mean much in 2020 Buddies you get into 21 and and the outer years, you know we were pretty optimistic about that.

<unk> versus large then you locations, maybe hot spots around neighborhoods, where people live given there's no one gathering in stadiums and arenas right now and traffic across at airports is obviously town.

Not not really I I look I'll tell you what I've got the carrier is a lot of credit or you know because there were obviously well prepared for this as much as anybody could be out of you know anybody you know I wouldn't think of a global pandemic happening, but they've done a fantastic job and we don't see evidence of that we we see them you know continuing to focus on the work that were.
Doing with them as I've commented I think a couple of times the ability that we have or the you know because people are you know staying in place in her home, we're actually getting some of the you know the the sometimes longer term you know opportunities to get contracts done get done and then you know the fact that a lot of these venues don't have big traffic.
And and people in for the things that you know we were working on on the books and things. They want to do we're continuing to do that and you know it's actually can happen at a little bit better pace. You only thing that can be you know you know impact it a little bit is if you have to test the network or you know you know put something through the the the <unk>.
That's with you know some paces before and you know if that requires somebody to go out or multiple people to go out to a particular location. You know we we may see you know little delay in that but again, we're not talking months and things like that you know it gets pushed back a couple of weeks or whatever but oh everything we were working on was going through the new.
Attunitys continue to come in and like I said on the contractual side, we're actually able to get those.
On a little faster people actually <unk> really enjoy you know engaging in a in and getting that done.
You know bad it's regular file sorry, just that at some color I mean, if you look at what Mike sudden is prepared comments, but when the venues. We added no. We added a carriers at two airports and and really one one amphitheater for doing concerts no airports are clearly down in terms of usage as Napa theaters now not doing shows at this moment, but there's still a dumb.
Man and then the yeah. The five G. upgrade that we we didn't Troy was.
That was done towards a very into the quarter. So there's there's still demand it it catches people off guard, but if there is a lot of demand stuff.
Okay, Great and then switching gives the military you know I I guess I can see some some positive aspects of this too did you see any evidence of of any subscribers, yeah, you're you're getting like an increase you know upgrade activity.
Driver's go into a higher it here because they're spending so much time in the barracks rooms, you know doing you know entertainment type things or or doing some type of work you know I would I would expect a gaming would be high entertained would be high net flicks and things like that so <unk> are you seen any evidence of of any benefit there.
Oh, sorry, maybe p. can add on yeah, we've had a pretty high percentage of the higher end to begin with we're definitely seeing more usage no doubt about that as you could expect and we're thrilled at that and you know like what a compliment our team again, we we have and have had people in the field working you know to make sure that season that.
Works are up and running in meeting the demand a bar and users the military bases of obviously been a a big a user of that so we're seeing a little less you know turn because people aren't moving around as much and being deployed in a in moving the various things, but the usage is the networks working great.
And you know I think as I said in M.P. said as well. We all you know we we are supplying you know some of the quarantined <unk> with a service that we have been and we'll continue to do that but we're also working with military on opportunities. They have little things that became real things like they have a lot of educational you know.
Activities that go on in classrooms that they couldn't do so now they needed to have them in barracks that maybe you know the soldiers didn't subscribe or whatever and we're working with military to provide connectivity and a lot of different places to make sure. They can have you know all these various activities. So there's quite a bit going on there and you know the the military has been a great partner.
They've been very proactive to make sure that the troops are being taken care of them were right there with them.
Okay. Thanks, and it is there any abnormal uptick or any additional spending up extra tax wise to support the network traffic growth for those subscribers is there anything that's not in your normal run rate of activity that we should be aware.
I wouldn't say, there's anything it's abnormal no. We we've done some circuit upgrades as as you would imagine that that's but that's all normal course would say some of this happened a little quicker we're continuing to do upgrades, we we always planing on upgrades and military bases to make sure that the network and just handle the load and we've had we've had to be a little more proactive.
And do some of these a little bit earlier, but it's all in what I'd call. The normal course. It just maybe had brought forward you know six seven months or so, but but nothing nothing that's abnormal.

When you when you kind of juxtapose that and look at it relative to kind of any renewals or any contracts that you have coming up for renewal and how you feel about your Erica Your book right now and then in terms of you know if there's some kind of degradation no longer term, our our wise if no. If you get renewed out a lower rate or you know if that.

I I'm, a little bit more on the optimistic site. So certainly understand the traffic in the airports is down but I do believe that that will come back. So now you know everybody's got a guess is it you know third quarter Fourthquarter three years to you know whatever but I do believe that you know that will come back on the positive side, though.
What we're seeing in the discussions were having is.
Connectivity and and neutral connectivity is only going to be more necessary. So there's going to be a lot of things will happen at airports as far as temperature checking we you know and where will they do that will they do it in the parking lots will they do it here are they you know the.
How you get rides and stuff is already changing in a lot of airports, requiring <unk> connectivity not just inside the airports, but outside and surrounding and so we're seeing a lot and having a lot of discussions about that you know coverage on the <unk> and things like that the that you know our airports would like in M. carrier.
<unk> or <unk> are looking to do more up as well and of course, the upgrades to five G.N.C.B.R.S. and all that but at the end of the day the real positive thing I think is.
These venues whatever they are want all customers to have great connectivity and when you. When you add together you know five she license you add wife, I six an unlicensed U.S.C.B.R.S. and you bring all that together and devices are coming that are going to be capable to do all that you know.
<unk> the the air traffic will obviously have to build overtime, but but as it builds the requirement for data and the necessity for a connectivity and information is going to build probably at a faster rate than it otherwise was playing so.
You know we'd like to spot were in their we've got great partnerships and you know we've worked very well with you know these entities for a long time and you know we think we're in a good spot to continue to provide that and for a lot of the reasons I just highlighted.
