Hello, everyone and thank you for joining us.

My name is Steve Ulta brand out of the portfolio oversight for CMT T.

Also on the call today are David Thompson, our Chief Executive Officer, and Barry <unk>, Our Chief Financial Officer.

Thanks, Steve and thank you everyone for joining our call today.

Starting off with some highlights of our third quarter.

We continued to execute on our strategy to grow the multifamily portion of our portfolio.

Our development pipeline and made additional progress.

Our office lease percentage remains stable.

We saw continued strength at our hotel asset and.

Our liquidity remains strong.

First I'd like to touch on our progress in multifamily.

At the end of the third quarter, our overall multifamily occupancy improved to 84, 1% up 20 basis points from the prior quarter.

As we've discussed before we've been focused on growing the multifamily side of our portfolio to achieve more balanced between creative office and multifamily assets.

We added 696 units to our portfolio earlier this year from the acquisition of two multifamily assets in Oakland and one multifamily property in Los Angeles.

Two of those three assets are still in lease up and the third asset has significant NOI growth opportunity as the in place rents are substantially below todays market.

We believe the continued lease up of these assets will continue to improve our funds from operations.

Turning to our development pipeline during the quarter and we made significant progress most notably in Culver City.

We recently received entitlement to redevelop our office building on Washington Boulevard I'll provide more details on this exciting update in a moment.

In our office segment, our lease percentage remains stable in the third quarter at 84, 3% we.

We executed about 29000 square feet of office leases in the quarter and our office NOI increased by 43% compared to the prior year period.

Our third quarter Hotel segment NOI decreased compared to the prior period, however year to date hotel NOI increased by 27% from the prior year period, a continued strong rebound from the pandemic.

Lastly, our lending NOI decreased year over year, primarily due to the securitization completed in the first quarter, which increased interest expense attributable to that segment.

At the end of the third quarter, we had $19 million of cash on hand $73 million of availability under our revolver and we continue to raise series a one preferred stock.

Turning back to our development pipeline, we have some positive updates.

Starting in Culver City, we received our entitlements you redevelop our single story office building in Washington Boulevard into a new creative office building.

The existing buildings about 24000 square feet and the entitlement allows for about 64000 square feet as well as 180 parking stalls.

Our plans for this new creative office include a roof deck bike parking stalls, a locker room and showers for employee use public art space of solar PV system and intended LEED certification.

The next phase of the project will be design and permitting work.

We're very excited about this potential redevelopment Culver city is a walkable supply constrained highly desirable submarket. The commands some of the highest office rents in Los Angeles.

Our properties just a few minutes walk from the light rail and it is surrounded by numerous shopping and dining options.

Some notable companies in the Submarket and include Apple Amazon H, B O Microsoft's tick tock, Sony beats and more.

Work continues at our office to multifamily conversion at 47, 50, Wilshire Boulevard in Los Angeles, and we expect to start leasing units in the fourth quarter of 2024.

This will add 68 luxury residential units to the portfolio.

We believe this is a very attractive project given its location in Hancock Park, another supply constrained neighborhood, there's adjacent to multimillion dollar single family homes.

And the Echo Park section of Los Angeles, where we're starting construction on our 36 unit multifamily development, which is a joint venture between C. M C T and an international institutional investor.

This parcel is adjacent to our creative office building at 1910, West Sunset Boulevard, which is now 87% leased up from 80% a year ago.

And Jefferson Park, we believe we'll be able to start construction at three 101 and 302 to southwestern in 2024 in total this would add about 120 units.

For the balance of our development pipeline, we continue to work to obtain all the necessary approvals as well as complete design work.

We believe making progress on this pipeline increases the value of an asset if we elect to sell to another developer or supports our growth if we elect to develop.

As we've previously mentioned for development assets, we will look to bring in co investors to increase our diversification and supplement returns by generating fee income when advantageous just like we've done at 47 50 wheelchair.

With that I will turn it over to Steve Rudd, a further update on the portfolio.

Thanks, David I would like to provide an update on our operating assets starting with multifamily.

Yeah.

On a consolidated basis at quarter end, our multifamily was 84, 1% occupied compared to 83, 9% at the end of the second quarter.

Occupancy at Channel House in Oakland was 77, 5% at the end of the quarter compared to 81, 4% at the end of the second quarter and occupancy at $11 50, clay in Oakland increased to 93% up from 86, 5%.

As David mentioned these premier class a assets were acquired earlier this year and are in the process of being leased up there.

There were significant supply growth in the open market from 2018 through last year, which in part allowed us to acquire these assets at a substantial discount to what the replacement cost is today.

While we continue to expect it to take some time for this new supply to be fully absorbed we believe local rents would need to increase dramatically you before it is economic to see multifamily buildings start again.

The pipeline for development in Oakland is well below the average for the top 25 U S markets. So we believe these assets are well positioned for growth.

In Echo Park, Los Angeles at our multifamily asset at 19 O. Two park our in place rents are well below market and we have been executing new leases for new tenants at substantially higher rate.

Occupancy increased to 89, 3% at the end of the quarter up 400 basis points compared to the end of the second quarter.

We have a waiting list for two bedroom units today, demonstrating the strength of demand for this asset.

Turning to office, we leased approximately 29000 square feet in the third quarter, our occupancy rate at the end of the third quarter was 82, 6% compared to 83.0% in the prior quarter and our lease percentage was 84, 3% compared to 84, 5% in the prior quarter.

Our leasing spreads remained positive meaning on a same suite basis. The rents we are achieving on new leases are higher than the rates of our expiring leases.

As to the quality of our office portfolio on a year to date basis, our cash lease spreads are up about 100 basis points, while our GAAP leasing spreads are up about four 6%.

With that I'll turn it to Barry.

Thank you Steve moving on the financial highlights.

Our segment NOI increased to $11 $2 million for the third quarter of 2023 compared to $10 $1 million in the prior year comparable period.

This increase in NOI of $1 $1 million was driven by a $2.8 million increase in our office segment NOI, partially offset by an $800000 decrease in our lending segment NOI of 500000 hour decrease in our hotel segment NOI as well as the net operating loss of $400000 from our newly acquired multifamily segment.

Our third quarter office segment, NOI increased to $9 $3 million compared to $6 $5 million for the prior year comparable period the.

The increase of $2.8 million was driven by an increase in income from our unconsolidated office properties largely due to an unrealized gain of one of our joint venture investments recognized during the quarter an increase in rental revenues at an office property in Beverly Hills, California did increase the occupancy and rental rates and a decrease in real estate tax expense at an office.

Property in Austin, Texas.

Our third quarter Hotel segment, NOI decreased to $1 9 million from $2 $4 million in the prior period.

While room revenue remained flat the decrease was attributable primarily to a decrease in food and beverage revenue.

As we mentioned we recorded a third quarter net operating loss of $400000 from the new multifamily segment.

Began reporting multifamily segment NOI in the first quarter of 2023. After we acquired two multifamily properties in Oakland in late January of late March as well as invest in another multifamily property in Los Angeles through a 50 50 joint venture investments.

Lastly, our lending division NOI decreased $400000 from $1 $2 million in the prior year comparable period.

This decrease was primarily due to the increased interest expense related to the issuance of debt through a securitization transaction that closed on March 20th twenty-three as well as an increase in allocated payroll costs inter.

Interest relating to the securitization is directly expense at the lending segment level, which in turn freed up capital to allow us to further our strategic business model, including a multifamily acquisitions.

For our non segment expenses, we had two significant events. The largest was an increase of $11 million in depreciation and amortization expense. This noncash expense increase was driven by an increase in acquired in place lease intangible assets amortization at our new multifamily properties located in Oakland.

As of the end of the third quarter. These assets had been fully amortized.

The second item being an increase in non segment allocated interest expense, which increased by around $6 $5 million.

The increase was related primarily due to market interest rates and the assumption of two mortgages in connection with the acquisition of our two multifamily properties in the Oakland during the first quarter of 2023, including borrowing on our revolver in connection with the acquisitions.

Our SSO was negative 33 cents per diluted share compared to negative 22 cents in the prior year comparable period, and our core thought though was negative 31 cents per diluted share compared to a negative seven cents per share in the prior year period. These reductions were primarily driven by the increase in interest expense largely due.

Our multifamily acquisitions, two of which are still in their initial lease up phase as David mentioned, we believe there is an opportunity to significantly grow our multifamily NOI.

Finally, our liquidity was bolstered by raising an additional $25 $1 billion in net proceeds from the sale of our series a one preferred stock during the quarter at September 30, we had approximately $73 million of additional borrowing capacity.
