I'm joined here in Why I'm Missing by our CFO, Felicia Hendrix, and our head of operations, Todd George, as well as other members of the executive team. And I thought it would be best to take a step back and cover a few important topics related to Penn Digital and the Omnichannel journey. A few reminders and clarifications, as well as some facts that are sometimes missed. And, most importantly, I wanted to spend some time talking about what you can expect from us later this year as we head into 2024. And beyond that,

Jay A. Snowden: Thanks, Joe and good morning, everyone on the call I'm joined here and why I'm missing by our CFO, Felicia Hendricks and our head of operations, Todd, Georgia as well as other members of the executive team and I thought it best to take a step back and cover a few important topics related to the 10 digital and Omnichannel journey.

Jay A. Snowden: A few reminders and clarifications as well as some facts that are sometimes mess and most importantly, I wanted to spend some time talking about what you can expect from US later this year as we head into 2025 and beyond.

Jay A. Snowden: When we announced the ESPN Alliance in August of last year, we highlighted an exciting, differentiated vision and strategy for our digital and omni-channel future at Penn, the foundation of which has been consistent with our thinking since PASPA was overturned in 2018, which is to be at the forefront and to deliver on the powerful and inevitable convergence of sports media and sports betting in a way that no one else can replicate, building a significant database of younger, highly engaged online sports betting bettors and fans, building long term relationships via best in class product and experiences, and eventually providing them with compelling cross sell opportunities over time to other offerings throughout the Penn ecosystem, a truly unmatched omni channel strategy. The path to getting this point has not been without some bumps in the road as no nascent digital strategy ever is.

Jay A. Snowden: When we announced the E. S. P. Snowden: They were looking for a partner that had relevant experience, access, and relationships at the state level across the country, a proven and fully owned technology stack, which Penn had from its acquisition of the Score, experienced operators, a shared vision, and a company culture that aligned with ESPN to ensure a productive long-term relationship. They, similar to Penn, concluded that sports betting and sports media were rapidly converging, and sports fans were looking for, and even expecting, a fully integrated sports betting experience with ESPN.

Jay A. Snowden: Level across the country are proven and fully own technology stack, which Penn had from its acquisition of the score experienced operators a shared vision and a company culture that aligned with ESPN to ensure a productive long term relationship based.

Jay A. Snowden: Are they similar to Penn had concluded that sports betting and sports media, we're rapidly converging and sports fans, we're looking for even expecting a fully integrated sports betting experience with ESPN ESPN ultimately chose pen and E. Snowden: Though we were very excited about ESPN Bet, we knew it would take us time to build a sizable database, deliver on best-in-class online sports betting and iCasino products, introduce deep, exclusive integrations with ESPN, and build strong, long-term relationships with our bettors, users, and fans on ESPN Bet. Our overall launch has gone very well in most areas, which I will cover in a bit, and there are also a couple of areas for improvement, as there always are, and we will spend some time covering those and the associated action items as well.

Jay A. Snowden: It would take us time to build a sizable database deliver on a best in class online sports betting and casino products introduced deep.

Snowden: Our overall launch has gone very well in most areas, which I will cover in a bit and there are also a couple of areas for improvement as there always are and we will spend some time covering that was and the associated action items as well we have built a very solid foundation. We are now live in 19 jurisdictions in North America, with New York coming before the start of this upcoming NFL season, and we have.

Jay A. Snowden: Sure we deliver a best in class product, we are committed with our partners at ESPN to being a top player in online sports betting with E. S. P. N bat and we are also committed to being a top player in a casino with Hollywood Hollywood Casino brands, and the industry's best and Omnichannel execution, given our geographically diversified portfolio a premier regional casinos across the U S.

Jay A. Snowden: Combined with a rapidly growing and highly valuable database of Penn Play members that is currently expanding by well over a million new members per year, a database that has quickly moved from 25 million total members to over 30 million members and will continue to grow at a similar 1 million plus annualized rate for the foreseeable future. The things we are going to be able to do with this database, particularly new AI tools and capabilities, are extremely exciting down the road, but that is a conversation for another day.

Jay A. Snowden: Yes.

Jay A. Snowden: Combined with a rapidly growing and highly valuable database of Penn play members that is currently expanding by well over 1 million new members per year over the last few years. A database that has quickly moved from 25 million total members to over 30 million members and will continue to grow at a similar 1 million plus annualized rate for the foreseeable future.

Jay A. Snowden: The things we are going to be able to do with this database, particularly with new AI tools and capabilities is extremely exciting down the road the conversation for another day.

Jay A. Snowden: During the first quarter, we achieved record quarterly online sports betting in iCasino handle. However, our OSB results were negatively impacted by a slightly lower handle per user than we modeled and a well-documented unfavorable hold in the quarter, which continued through March Madness with the favorite UConn winning their matchups by large margins throughout the tournament and ultimately the national championship.

Jay A. Snowden: During the first quarter, we achieved record quarterly online sports betting I casino handle our OSB results were negatively impacted by a slightly lower handle per user than we modeled and well documented unfavorable hold in the quarter, which continued through March madness with the favorite Yukon winning their match ups by large margins throughout the tournament and ultimately the national champions.

ESPN bet attracted significantly more registrations and first-time deposits than our internal assumptions and even the most bullish of predictions, garnering over $1 million in new-to-pen online sports betting first-time deposits in just the first two months of operation, having done so with competitive, at-market promotional offers. We did not have to over-reinvest to deliver these results.

Jay A. Snowden: E S. P N bet attracted significantly more registrations and first time deposits than our internal assumptions and even the most bullish of predictions garnering over 1 million new depend online sports betting first time deposits in just the first two months of operation having done so with competitive at market promotional offers we did not have to over reinvest.

We continue to attract new first-time deposits at a healthy pace, showcasing the effectiveness of ESPN as an ongoing organic acquisition channel. ESPN bet has performed very well from a product stability perspective and has received over 140,000 ratings in the iOS app store, more than all but three of our competitors who have all been live in the app store for years longer than us, with a cumulative app store rating of 4.8.

Jay A. Snowden: To deliver these results. This speaks to the power of the S. P. N brands, we continue to attract new first time deposits at a healthy pace showcasing the effectiveness of ESPN as an ongoing organic acquisition channel ESPN that has performed very well from a product stability perspective and has received over 140000 ratings in the iOS app store more than.

Jay A. Snowden: All but three of our competitors, who have all been live in the App store for years longer than us with a cumulative app store rating of 4.8.

Jay A. Snowden: According to Sensor Tower data, ESPN Bet has consistently been running in the mid-to-high ranks among the weekly active online sports betting users from a nationwide market share perspective. And we are not yet live in the most populous online sports betting legal state in the U.S., New York, which will happen, as I mentioned earlier, prior to the start of this upcoming NFL season.

Jay A. Snowden: According to sensor tower data E. S. P. N that has consistently had been running in the mid to high teens and weekly active online sports betting users from our nationwide market share perspective, and we are not yet live in the most populous online sports betting legal state in the U S. New York, which will happen as I mentioned earlier prior to the start of this upcoming NFL season.

Snowden: All of this has been accomplished despite launching ESPN BET only three months after finalizing and announcing our strategic alliance with ESPN, and doing so with an app that we knew, while competitive, had ground to quickly make up in a few key feature categories that we have covered, such as parlays and player props, given our focus for the last 15 plus months has been on tech migrations, rebrands, and new state launches. That is all changing now, and the primary focus for our engineering and product teams is on quickly closing the gap on competitors from a feature and UI UX perspective. We have indeed been pleased with all these early data points and achievements, but we also recognize that not all the results are where they need to be at this stage.

For decades that are currently more casual betters, we should expect their engagement with the app and overall spend to grow over time as they become more comfortable experienced and knowledgeable.

Jay A. Snowden: Number one, we've grown the TAM and brought new bettors into the ecosystem due to the broad reach and strong brand equity of ESPN, the number one name in sports in the U.S. for decades. Currently, we should expect their engagement with the app and overall spend to grow over time as they become more comfortable, experienced, and knowledgeable with the app and sports betting in general. And the integrations with ESPN have become deeper and more seamless.

Jay A. Snowden: With the App and sports betting in general and the integrations with E. S. P N become deeper and more seamless so any friction between E. S. P N ecosystem and E. S. P N bed is eliminated.

Jay A. Snowden: So any friction between the ESPN ecosystem and ESPN bet is eliminated. We are also seeing that this new casual segment is much more likely to engage with parlay bets, which bodes well for us as we expand our offering. Number two, we are not yet generating our fair share of wallet with experienced and VIP bettors commensurate with our weekly active user share by virtue of our parlay same game parlay player prop and live betting features currently trailing the market. Here's the encouraging news in addressing these two items.

Jay A. Snowden: We're also seeing this new casual segment is much more likely to engage with parlay bets, which bodes well for us as we expand our offerings.

Jay A. Snowden: Number two we are not yet generating our fair share of wallet with experienced and VIP betters commensurate with our weekly active user share by virtue of our parlay same game, partly player proppant live betting features currently trailing the market.

Jay A. Snowden: Here's the encouraging news in addressing these two items, we just announced last week that are in the birds will be joining us as our new Chief Technology Officer at Penn Aaron comes to Us from Disney where he had an amazing career of over 20 years and he has most recently was most recently at a C. T O for Disney Entertainment and E. S. P N.

Jay A. Snowden: We just announced last week that Aaron LaBerge will be joining us as our new chief technology officer at Penn. Aaron comes to us from Disney, where he had an amazing career of over 20 years and where he was most recently the CTO for Disney Entertainment and ESPN, in addition to many accomplishments and accolades. Over the years, Aaron was deeply involved, excuse me, in the technology due diligence of Penn Interactive and felt that our new, fully owned, built for North America, proprietary technology stack, along with our talented technology teams, were what would make Penn the perfect partner for ESPN to launch ESPN VET. Now he gets to leave those efforts from inside Penn. He will be starting soon.

Jay A. Snowden: In the meantime, Aaron is not only one of the most accomplished and widely respected CTOs in the country, he's a strong leader, collaborator, and business partner. He will act as an immediate accelerant, turbocharging everything we are working on with ESPN, and his expertise in sports betting, fantasy, and media will be truly complementary to this extremely talented executive team I am already surrounded by at Penn.

Retail revenues of $1.4 billion and EBITDA of $479 million reflect the well-known impact of severe weather throughout our portfolio in January and early February, followed by resilient performance in March and April. For our interactive segment, we reported revenues of $208 million and an EBITDA loss of $196 million, which is a significant improvement from the fourth quarter. The shortfall relative to our prior guidance is primarily due to lower-than-expected hold and spend per user.

Felicia: We were pleased with our property level results in the quarter, despite challenging weather retail revenues at $1.4 billion and EBITDA of $479 million reflect the well known impact of severe weather throughout our portfolio in January and early February followed by a resilient performance in March and April for our.

Jay A. Snowden: For anyone that's headed that way you can take a look at but that would include things like.

So that tells you that people are liking the experience, they like the app, and deposits are in a good place. You know, just first off, to kind of go back to the guidance and digital, just to make sure we're on the same level here. Felicia, I think last quarter, we talked about roughly 600 million in revenues from both pass-throughs and 200 million, about 400 million from the pass-through, and about 200 million from sort of the other revenue pieces to allow us to kind of get to the just pure digital or online piece. Do those numbers still hold, or have those numbers changed at all?

Shaun Clisby Kelley: Hi, good morning, everyone and thanks for taking my questions.

Shaun Clisby Kelley: Just first off just kind of go back to the guidance and digital just to make sure. We're level set here Felicia I think last quarter, we talked about roughly $600 million of revenues from those pass throughs.

You're not gonna have all of that by the start of football, but we have closed the gap in a lot of the areas where it's obvious today.

Jay A. Snowden: Yes, so far or just you know you think about the last 18 months and it's been technology migration and big New brand launch with ESPN bed, and then state launches and so we finally have freed up all of our resources on the technology and product side to really work on closing the gap and getting us as close to parity.

Jay A. Snowden: With the top players as possible you don't have all of that by the start of football, but we closed the gap and a lot of areas, where it's obvious today.

Todd George: Our app is competitive, and it's been extremely stable, which is great. We get a lot of recognition for the number and variety of deposit options and have a lot going for us. It's a terrific foundation, but we have to get better in terms of that home screen experience and parlay offering. So those would be the top three from my perspective.

And we really think that the volumes that we're seeing in iCasino right now are super encouraging.

You'll hear a lot more from all of us at Investor Day at G2E, but a shared vision of just exactly what we can do and how far we can go with integrations in the Fantasy app. And when we get to the point where we've been able to link accounts between the ESPN ecosystem and ESPN, the opportunities for personalization are endless.

Snowden: Yeah, I think 2025, I mean, just taking a step back directionally, we still feel, as I said in the comments, Joe, that 24 is the primary investment year, 25 is going to be a year of us getting closer to breakeven and delevering the balance sheet, and in 2026, we inflect a meaningful, positive EBITDA and free cash flow from Interactive. I think a lot of what we say about 25 is going to really depend on how we do in 2024.

Speaker Change: Yeah, I think 2025, I mean, just taking a step back directionally, we still feel as I said in the comments Joe that 'twenty. Four is the primary investment year twenty-five is gonna be a year of us getting closer to breakeven and delevering. The balance sheet 2000, Twenty's sex, we inflect, a meaningful positive EBITDA and cash.

Jay A. Snowden: Free cash flow from interactive I think a lot of what we say about 25 is going to really depend on how we're exiting 2024 and so we'll have a pretty good idea on how things are going when we're at G. T V. In October when we're reporting our Q3 results in November will be sort of at the beginning in mid football sees.

Jay A. Snowden: And so we'll have a pretty good idea of how things are going when we're at G2E in October and when we're reporting our Q3 results in November. We'll be sort of at the beginning and mid-football season with a lot of the product enhancements and seeing what the traction and retention looks like. So I would say directionally, nothing has changed, but to get into exact numbers is really challenging at this point until we get through to Q4.

What we have a real opportunity is in handling and spend per user, which we believe and feel strongly is going to come from product enhancements that we've already covered. So it's good to see the trends that are on slide nine. It's good to see that people are spending more time on the app as you get from January to March. These are all highly encouraging.

Speaker Change: Yeah happy to hit both of those I think as it relates to slide nine we're looking at this weekly and we're sharing it when we have it on our quarterly call and I think it does speak to the level of retention that we are seeing.

Jay A. And again, we're still going through the data there, but there are solid five-digit numbers in there that went from ESPN to ESPN bet, downloaded the app, and then an even bigger number, a five-digit sizable number of people who went from ESPN to ESPN bet and already had the app and then were engaging with ESPN bet.

Jay A. Snowden: I don't have a whole lot of detail on what to share about it yet, but 300000 uniques that come through from ESPN media ecosystem to E. S. P. N bet in March alone right. So that's very exciting and again, we're still going through the data there, but theres solid five digit numbers in there that.

Jay A. Snowden: Wet from E. S. P N to ESPN that downloaded the App and then an even bigger number five digit sizable number of people, who who went from ESPN to ESPN Baton already had the App and then we're engaging with ESPN back. So that's exciting I think we're like top of the first Indian scratching the surface.

Jay A. Snowden: So that's exciting. I think we're like the top of the first inning scratching the surface there. You're going to see more six-pack odds within the homepage of the ESPN app coming soon, certainly within the scoreboard. And that's where people spend so much time. Right now, it's within Gamecast. So you have to be a pretty big fan to be live tracking a game.

Jay A. Snowden: Certainly within the score scoreboard and that's where people spend so much time right now is within Gamecast. We think that that 300000 per month is probably going to grow over time. So we feel really good on the on the user we have to.

Jay A. Snowden: So maybe for Jay, you know, lower handle per MAU was a point of concern in the 1Q, and I understand obviously also that you always want to get more bedding volume per person. I guess the question is how do you square that with the notion that more recreational play is generally higher hold? Parlays obviously have a lower handle attached to them, and those are higher hold. That's what I kind of thought we were going for in at least some part of this business XVIP. And so maybe you could just square those two different things and help me think about or see how you're thinking about that.

Brandt Antoine Montour: So maybe for Jay.

And there was also some VVIP noise in January and some promotional noise.

Snowden: We're trending a lot closer to mid to high 20s, as opposed to where we were even in Q1, and so that's highly encouraging because we know our parlay offering is not where it needs to be yet, and I think that you're going to see us probably over-index on parlays when we have a better offering available. So that's the way I think things will play out, but it's why you're seeing that There was noise in Q1, but 7 to 8 is probably a safe place to model between now and September, and then it should tick a little bit higher after September with all the new additions and integrations and enhancements that we covered.

Jay A. Snowden: Trending a lot closer to mid to sort of mid to high twenty's as opposed to where we were even in Q1 and so that's highly encouraging because we know our parlay offering is not where it needs to be yet and I think that youre going to see us probably over index on policies. When we have a better offering available. So that's the way I think things will play out but it.

Jay A. Snowden: It's what why you're seeing that 4.4 in Q1 to eight and a half in April there was noise in Q1, but you know that seven to eight is probably a safe place to model between now and September and then it should take a little bit higher after September with all the new editions and integrations and enhancements that we covered.

Brandt Antoine Montour: That's helpful. And then a follow-up on iGaming, you know, when we look at your content slate, obviously, you don't have your own app, standalone app, but when I look at your content slate, it seems like, you know, you obviously are under-indexing versus peers in terms of the number of third-party games. And so I'm just curious why the decision hadn't been made or still hasn't been made to add third-party games, which obviously aren't as high-margin as in-house games, but those are EBITDA dollars that you could be getting.

Based on the updated guidance, it looks like Q2 through Q4 implies a 180 basis point year-over-year decline, so it's actually getting worse. But you mentioned that March accelerated, and April showed stable trends as well. So are there additional costs, or is this just conservatism? Could you just kind of help us think about that year-over-year margin decline? Thanks.

Chad C. Beynon: Good morning, Thanks for taking my question wanted to ask about the the land base the retail margins. There's a number of states that already prohibit that from happening from happening for many of those wagers being allowed. So it's a very small percentage of handle for college games and for college football. And then it's even smaller, obviously, on the basis of total wagers and total handle. So I would view it as largely a non-issue in that I think people who are looking to bet on player props for college are probably going to continue to make wagers.

Speaker Change: Yeah, Chad I look though.

Jay A. Snowden: College that topic is interesting there's a number of states that already prohibit that from happening from for many of those wagers being allowed so it's.

Todd George: Something that we look at and basically the circle as we kind of draw are.

Todd George: We have basically doubled the addressable database.

Todd George: Through our ESPN partnership so as we start to go forward, what we've been able to do any very short amount of time and again, we haven't even had been live for ESPN for six months, yet we've been able to drive significant visitation.

Todd George: From that yes, P N online database into our properties and I think the latest experience we had with the drafts in Detroit.

Todd George: Just saw a lot of excitement around the entire city of Detroit, and a very well executed event, but also showing excitement around the ESPN brand and being associated with our Greektown property there. So.

Todd George: So more to come on that, but we saw something similar with the Super Bowl events at our M property, and then we've done some smaller tests with this database in our Pennsylvania properties, especially areas where we have online sports betting, online casino offerings, and then retail properties. It just provides a tremendous opportunity with a really low cost of acquisition for that database.

And we talked a little bit about in our slides, which is account linking. And account linking is so important, because if you already have an existing account with ESPN, and you use ESPN's media app or mobile web, and you prioritize your favorite teams and your favorite players for stories and scores, and the like, obviously, we can deliver more personalized betting options for you when we have that information. And so that's really powerful.

Ben Shakin: Yeah, I guess, Ben the way I would answer that.

Jay A. Snowden: I can't answer it from ESPN perspective, but where I can that we have alignment is what I referenced in my prepared remarks, and we talked a little bit about in our slides, which is on the account linking and account making is so important because if you already have an existing account with ESPN and you use espn's media app or mobile.

Jay A. Snowden: Web and you prioritize your favorite teams and your favorite players for stories and scores and the like obviously, we can deliver more personalized betting options for you when we have that information and so that's really powerful we're working on that now will have account linking done at some point throughout the football season.

Jay A. Snowden: Yeah, that's a separate topic. Then we probably need to spend some time going through that with ESPN because there are league rights and player associations and unions, and there's all sorts of things that would play a factor in that. So not to say the answer is no or yes. It's just to say I don't think we're there yet. We would need to do more research on that. It's something that we've talked about with ESPN. It's just not on the roadmap for the next 12 months.
