DENARIUS METALS ANNOUNCES PRIVATE PLACEMENT AND STRATEGIC INVESTMENT IN COPPER GIANT RESOURCES, GAINING EXPOSURE TO ITS WORLD CLASS MOCOA COPPER-MOLYBDENUM PROJECT IN SOUTHERN COLOMBIA

Denarius Metals will invest CA$28.8M for a 15.6% stake in Copper Giant via a non-brokered private placement raising ~CA$31.0M gross proceeds. The deal includes a 10-year offtake agreement with Trafigura for 20% of copper and 20% of molybdenum concentrate from the Mocoa project, supporting advancement toward a construction decision. Separately, Denarius is raising ~CA$28.8M (67.0M shares at CA$0.43 plus 12.5M warrants at CA$0.60 expiring in 3 years) to fund the strategic investment.

Analysis

This is less a discovery story than a financing validation event. The real signal is that a merchant of Trafigura’s caliber is willing to anchor a long-dated offtake before project economics are fully de-risked, which can compress the discount rate applied to the asset and improve the odds of later project finance. For CGNT/LBCMF, that matters more than the cash itself: it raises the probability of a future capital stack, but does not yet prove mine construction returns.

The second-order read is that the market may be underestimating how much molybdenum can stabilize the project profile if Mo stays firm. A meaningful byproduct stream plus a committed off-taker can make a low-grade copper system look more financeable than a pure copper peer, especially in a weaker copper tape. That said, the jurisdictional and permitting path in southern Colombia is still the binding constraint; strategic capital does not shortcut geotech, environmental, or community risk.

Near term, the catalyst is binary around closing and exchange approvals over the next few weeks; after that, the next real test is PEA quality and resource conversion over 1-3 months. Over 6-18 months, the thesis only works if drilling upgrades inferred ounces/tonnes into a bankable base and capex stays in line. If copper rolls over or the PEA shows punitive strip/capex, the ‘strategic investor’ premium should fade quickly.

Key Decisions for Investors

• Conditional long CGNT on close confirmation and 3-day volume follow-through; target a 15-25% rerate into PEA/risk-de-risking, but only if price holds above the financing reference level.
• Treat LBCMF as a higher-beta expression of the same thesis; only add if DMET trades with a sustained premium to the implied value of its CGNT stake after closing, otherwise the dilution/execution lag dominates.
• Do not chase DMET on the headline alone; fade any initial gap-up >8-10% unless the market revalues the CGNT stake at or above cost and management confirms no slippage in Zancudo execution.
• Pair any long CGNT/LBCMF exposure with a copper hedge such as COPX or FCX if you are holding through the PEA window; the trade is project-specific de-risking, not a pure copper beta bet.
