Evercore reported Q2 adjusted net revenues of $1.0B (+19% YoY) and adjusted diluted EPS of $2.91 (+20% YoY), alongside a record first half with $2.4B of adjusted net revenues (+56% YoY) and H1 adjusted diluted EPS of $10.48 (+77%). Capital returns were substantial at $823M in the first half (including $734M of share repurchases at ~ $325/share) and the board declared a $0.89/share dividend. Management cited broad-based strength across advisory and underwriting (underwriting fees $97M, +201% YoY) with strong engagement/backlogs near record levels, and an AI-driven catalyst for M&A discussions.

Analysis

EVR is the cleanest liquid proxy for a rebound in strategic advisory and ECM, but the second-order winner is really the hiring/market-share flywheel: if the platform keeps converting senior banker additions into wins, smaller boutiques and subscale regional advisors will get squeezed on both talent and fee pool share. By contrast, the most exposed peers are the banks with larger capital-markets franchises but weaker advisory share in healthcare/industrials/Europe; they may see less incremental benefit if the next leg of activity is still concentrated in large-cap strategic deals rather than sponsor-led volume.

Near term, the stock should trade on backlog conversion, not backlog size. The immediate setup is favorable for 1-3 months if ECM stays open and software sentiment keeps improving, but the main falsifier is a few quarters of deal timing slippage or a reset in sponsor activity that leaves revenue growth dependent on a narrow set of large transactions. The non-comp step-up also matters: if investment spend stays elevated into the next quarter, operating leverage can disappoint even with healthy top-line growth.

The market may be underestimating how much of this is share gain rather than just cycle beta. The contrarian view is that AI and software are still more narrative than cash flow: they can stimulate pitch activity quickly, but they do not guarantee signed deals, so extrapolating a straight-line acceleration is risky. Over 6-18 months, the real upside case is sustained M&A breadth plus continued buybacks; the real downside is that EVR’s earnings power looks less durable if deal mix normalizes and cost growth stays sticky.
