In our view, the first 1-3 months should be dominated by balance-sheet scrutiny: if permanent debt comes in heavier than implied, AA can outperform on the headline and still underperform on multiple compression.

The bigger second-order effect is technical supply. The distribution of AA shares to the seller’s holders can create a persistent overhang, which matters more than the synergy NPV in the first 6-12 months. Strategically, AA should become a lower-beta aluminum vehicle versus peers that still buy upstream inputs, but that benefit only shows up if alumina remains tight and the company proves it can convert scale into cash rather than just gross tonnage. The contrarian risk is that investors are pricing in 2027 synergy too early while underestimating regulatory friction, integration complexity across three geographies, and the possibility that soft aluminum prices make the deal look merely dilutive with a longer-dated payoff.
