Tripadvisor shares fell 22% to $10.91 after Q2 2026 revenue of $442M missed expectations by 12.6% and management issued cautious guidance. The company announced an all-cash $700M sale of TheFork to American Express (net proceeds ~ $680M) and guided Q3 continuing-ops revenue down 7% to 10% with adjusted EBITDA margins of 17% to 20%. Headwinds cited included ~5pp SEO-driven drag on experiences growth, weakening U.S.-to-Europe demand, and lower average booking values, while Q2 free cash flow remained positive at $130M.
This is less a one-quarter miss than a distribution fragility story. The core problem is that the remaining business is becoming more reliant on channels it does not control, so every percentage point of search traffic erosion or AI-routing displacement has an outsized effect on revenue because much of the cost base is still fixed. TheFork’s divestiture simplifies the narrative, but it also strips out a relatively stable cash contributor, leaving a thinner equity story that now has to prove the experiences franchise can offset legacy decay faster than acquisition costs rise.
The first-order loser is the company itself; the second-order losers are peer travel marketers that depend on the same funnel economics. If consumers increasingly discover bookable experiences through AI assistants, metasearch, or super-apps, the value accrues to traffic owners and payment/card ecosystems, not to intermediaries with weaker organic placement. That favors platform-scale names like GOOGL and, to a lesser extent, MSFT as routing layers, while pressure builds on smaller travel publishers and any OTA-like model that needs paid reacquisition to refill the funnel.
Near term, the real catalyst is not the asset sale closing but whether management has to cut forward bookings again after the summer travel window. The stock can overshoot on both sides: a reflexive bounce is possible if SEO stabilizes or Europe demand normalizes, but the 6-18 month risk is structural multiple compression if AI search permanently lowers click-through rates. Falsifiers are simple: a sustained rebound in experiences bookings above guidance and a clear inflection in average booking value; absent that, rallies are likely sellable.
