Analysis

This is less a headline event than a credibility reset. If the distributor inventory and rebate allegations are directionally right, the market is still underpricing the second-order effect: a forward revenue air pocket plus margin compression as the company has to normalize terms, which can turn a perceived growth story into a working-capital story overnight. That matters more than the lawsuit itself because small-cap biotech multiples are usually pinned to durability of growth and cash conversion; once those are questioned, valuation can re-rate quickly and financing flexibility can tighten.

The near-term risk is that headline-driven selling may already have front-loaded some of the damage, so chasing the move after a two-day air-pocket is not ideal unless new evidence arrives. The real catalysts are the next quarterly filing, inventory/receivables trends, and any SEC or auditor scrutiny over the next 1-3 months; those are what would validate or falsify the thesis. Watch for a stabilization in days inventory outstanding and gross margin, because if reported growth was pulled forward, those metrics should deteriorate as channel inventory clears; if they do not, the bear case loses force. Relative winners are cleaner IVIG / plasma names such as GRFS, CSL, and TAK over a 6-18 month horizon, because capital will likely rotate toward businesses with more believable organic growth and less legal overhang.
