IQM Quantum Computers signed and completed a binding SPAC merger with Real Asset Acquisition Corp: RAAQ approved the merger on 25.6.2026 and the transaction became effective immediately. As consideration, IQM issued 14,381,747 treasury shares and RAAQ holders will receive ADSs (each ADS represents 1 IQM share), with IQM also assuming RAAQ warrants for subscription at $11.50 per share (up to 12,530,975 shares). The deal closed alongside a PIPE placing 14,548,000 IQM shares at $10.00 per share raising €127.7m ($145.5m) gross, and IQM expects total net proceeds of ~€198.7m ($233.5m), a major funding step toward commercializing quantum computing.

Analysis

This is less a clean fundamental re-rating than a capitalization event: the equity story is now governed by how quickly the market can absorb a meaningful new public float before there is hard revenue proof. The near-term upside is likely driven by scarcity and “first listed European superconducting quantum pure-play” positioning, but the medium-term setup is dilutive by construction: stock consideration plus the PIPE creates a large amount of freely tradable supply relative to a pre-commercial business model.

The key second-order effect is on sector comparables. A credible listed peer with institutional backing should tighten the valuation framework for IONQ, RGTI, QBTS and QUBT, but it can also compress the whole basket if IQMX trades on execution rather than hype. In that sense, the first 1-4 weeks matter more for sentiment than 6-12 month fundamentals: a weak aftermarket would signal that quantum equity demand is narrower than bulls assume, while a strong aftermarket could temporarily lift the cohort and improve financing terms across the group.

The main risk is warrant-driven supply overhang. With a meaningful tranche of warrants struck at $11.50 and a large share count now in public hands, any move above the strike could be capped by hedging and secondary selling, especially if early trading is dominated by fast money rather than long-only holders. The thesis is falsified if management quickly converts the listing into visible booked orders, recurring revenue, or a material backlog increase over the next 1-2 quarters; absent that, the market may treat this as another cash-rich but pre-earnings quantum name rather than a new category leader.
