Digi Power X: The Business Improved While Shareholders Were Diluted

Digi Power X is still rated a speculative buy, but ongoing dilution remains a key overhang despite execution improving on AI infrastructure. Shares rose ~41% in 3–4 months largely to fund Columbiana and AI expansion, while operational progress (NeoCloudz and ARMS 200 launches and continued Columbiana progress) reduces execution risk. However, Phase 2 financing is still uncertain, keeping downside risk tied to future dilution.

Analysis

The key market issue is not whether the project story is improving — it is whether equity holders are being paid enough for the financing overhang. In these microcap AI-infrastructure names, every incremental dollar of capex funded via stock issuance lowers per-share value unless it comes with a clear path to contracted, high-visibility cash flow; otherwise the equity behaves like a call option on future capital access rather than on operating leverage.

Near term, the stock can continue to trade on momentum and scarcity value because operational milestones reduce existential risk. But the 1-3 month catalyst is financing terms: a non-dilutive or project-finance-backed Phase 2 would support a rerate, while another raise at punitive terms would likely compress the multiple even if execution remains on track. Relative to better-capitalized AI-infra proxies, DGXX should deserve a persistent discount until it proves it can fund growth without repeatedly resetting the share count.

The contrarian view is that the market may be underestimating how valuable scarce power/AI infrastructure can become in a tightening supply environment, so some dilution may be rational if it buys control of a strategically important asset. What would falsify the bear case is not another milestone headline, but evidence that the milestones are converting into economics: financing closed with limited dilution, then two quarters of accelerating revenue or meaningful gross margin progress. Absent that, the probability-weighted outcome is continued volatility with downside skew on any financing delay.
