Gerresheimer reported FY2025 revenue of EUR 2.321B (+16.6% YoY, incl. first-time consolidation of Bormioli Pharma) but posted consolidated net income of -EUR 318.7M due to ~EUR 521.5M of impairments and ~EUR 71.8M of restructuring/exceptional expenses. Organic revenue growth was +0.3% and adjusted EBITDA was EUR 384.0M (adjusted EBITDA margin 16.8%), with Plastics & Devices growth offset by weaker Primary Packaging Glass demand and operational ramp-up losses. After delayed reporting tied to corrections of revenue recognition under IAS 8, the company expects FY2026 revenue in the lower half of EUR 2.3–2.4B and an adjusted EBITDA margin of 17–18%, plus free cash flow of -EUR 50 to -100M; it also expects no FY2025 dividend due to the negative results and plans Centor sale + debt refinancing to improve liquidity.

Analysis

The bigger market issue is not the one-off restatement; it is that the equity now trades with a governance/risk premium that likely persists until the refinancing is done and the Centor sale closes. Even if leverage improves, the absence of a dividend and negative free cash flow mean the stock is still an equity story dependent on creditors’ patience, not just operating execution. That typically caps any rerating in the next 1-3 months, especially for a name that already screens as a restructuring candidate rather than a clean growth compounder.

The business mix matters more than the headline margin: drug-delivery and syringe demand are the only parts with real pricing power, while cosmetic and oral-liquid glass looks cyclical and vulnerable to substitution by higher-spec plastic and device formats. That is a relative tailwind for West Pharmaceutical Services (WST), Aptar (ATR), and Stevanato (STVN), which can absorb demand from customers looking to de-risk supply chains away from a challenged glass platform. The Chicago closure also signals that the company is exiting weak capacity rather than defending share, which is usually a late-stage margin repair move, not a growth inflection.

Near term, the main upside catalyst is a clean refinancing at acceptable spreads and a credible free-cash-flow bridge in the next quarterly update; the main downside catalyst is any delay, especially if auditors or lenders revisit the accounting control overhang. The consensus may be underestimating how much the market will focus on normalized EBITDA quality versus reported improvement. Until that is proven, the better risk/reward is to fade rallies in GRRMF rather than chase a turnaround.
