This is a quality-of-ownership rerate more than a classic synergies story: the main economic benefit is a lower funding-cost platform with better indexability and a wider buyer base, not the headline cost saves. That makes WDP the cleaner medium-term winner because it can recycle its A-grade balance sheet into growth while the market pays up for liquidity and scale; ARGAN holders are effectively monetizing a premium into a higher-liquidity paper, but their upside is now mostly the deal spread rather than standalone execution.

Second-order, the real competitive pressure lands on smaller continental logistics landlords and private owners that relied on local scarcity premiums. If this closes, the combined group can offer pan-European tenant solutions at a lower WACC, which should pressure pricing power for sub-scale peers and accelerate consolidation in France, Belgium, and the Netherlands. That can also compress debt spreads for the sector if lenders view the transaction as proof that investment-grade logistics remains financeable even in a softer property tape.

The key risks are timing and assumptions: tax ruling, shareholder votes, and the right-of-withdrawal are the gating items over the next 1-3 months, while the financing and leverage math matter over 6-18 months. The accretion can reverse if the WDP share price weakens, if the asset-sale package comes in below target, or if euro rates/yields back up enough to reduce the benefit of the cheaper capital structure. The market may be overestimating the durability of the announced EPS uplift because it leans on execution-dependent disposals and assumes no meaningful friction from dissenting ARGAN holders.
