Management attributed the top-line shortfall to North America Local supply engine underperformance and guided Q3 revenue to $128M–$130M and adjusted EBITDA to $19M–$21M, while forecasting negative free cash flow in Q3 despite maintaining FY26 outlook (revenue $513M–$523M; FCF at least $60M). The company is pushing its AI-native transformation (Project Foundry), claiming engineering output per developer more than doubled and AI support resolution is 3x faster, while warning the Q3/H2 acceleration depends on a faster ramp than the current pace.

Analysis

The stock is still being priced off an improvement story, but the real variable is whether the product/merchant overhaul creates durable repeat behavior fast enough to offset a fragile demand engine. Near term, the market should care less about customer count and more about whether North America Local can stop diluting mix; if that leg only recovers on easier comps and heavier marketing, operating leverage can reverse quickly.

The AI narrative is economically relevant only if it lowers CAC and support costs without damaging conversion. Management is implicitly trading short-term conversion for better trust, which can help refunds and lifetime value, but it also means the revenue inflection may lag the headline platform metrics by 1-2 quarters. That makes the most exposed names the ones dependent on consumer discovery and local merchant demand; competitors in local experiences and deal aggregation can pick up share if Groupon’s supply cleanup slows.

The contrarian miss is that the market may be underestimating how much of the July bounce is seasonal and comp-driven versus structurally new. At the same time, it may be underappreciating that if repeat purchase and second-order monetization actually improve, this becomes a much higher-multiple cash-flow story because the fixed-cost base is already being reset. The falsifier is simple: if Q3 billings come in below the low end or North America Local fails to hold the recovery through September, the AI/quality thesis loses credibility quickly.
