MARA reported Q2 revenue of $174.9M (-27% YoY) and a net loss of $611.3M (loss per diluted share: $1.60), with ~$343M of the loss driven by unrealized mark-to-market declines tied to Bitcoin price volatility. Adjusted EBITDA swung to -$360.9M from +$1.2B as the fair value of BTC holdings fell. Offsetting progress includes 22% higher energized hashrate to 70.3 EH/s (+2,422 BTC produced, +8% QoQ) and advancing the Long Ridge acquisition via $600M incremental Bitcoin-backed credit facilities at 7.56% cost of debt, while expanding the power portfolio target to 4.8 GW (+2 GW at Matagorda County).

Analysis

The market will initially read this as a balance-sheet story dressed up as an AI-infrastructure pivot. In the next few days, the stock still trades primarily like a leveraged BTC proxy, but the real swing factor is that more than half of the coin base is now encumbered, which reduces financial flexibility exactly when the business is trying to fund capex and acquisitions. That creates a subtle but important risk: if BTC chops lower, MARA may have to choose between preserving liquidity and preserving operating optionality.

Over 1-3 months, the catalyst path is less about mining economics and more about whether the company can convert claimed power capacity into signed leases. Until there is a tenant announcement, the AI narrative is mostly valuation-transfer risk from miners to infrastructure names. Competitors with cleaner exposure to energized assets or lower leverage, such as RIOT and CLSK, look comparatively better positioned if the market starts separating “power optionality” from “execution certainty.”

The longer-term bull case is real but slow-moving: owned power plus transmission access can become scarce inventory in an AI-constrained market. The issue is that this optionality is being financed with BTC collateral and debt, so the equity has two embedded volatilities instead of one. The contrarian miss is that investors may be underpricing how much a prolonged BTC drawdown could force the company to prioritize debt service and mark-to-market optics over development spending.

Falsifiers: a sustained BTC move back above the mid-$60Ks, a first signed lease before year-end, and/or FERC/ERCOT approvals that turn the power portfolio from a story into contracted cash flow. Absent those, the setup remains headline-positive but fundamentals-negative for the common stock.
