Nebius Group shares fell 17% to close down the day as the AI-cloud trade hits balance-sheet arithmetic. The article highlights $15.061B of total liabilities (+1,040% YoY) including $10.04B convertible debt principal that accretes to 120% at maturity, plus $63.7M of interest expense in a single quarter and $16B–$20B of FY2026 capex commitments versus $7B–$9B ARR guidance. Analysis

This is less a one-day drawdown than a regime shift in how the market prices AI infrastructure: from growth multiple to financing multiple. When equity capital gets treated as the cheapest input, any stumble in execution, power delivery, or customer ramp forces the market to re-rate the whole cohort on liquidity survival, not TAM. That is why NBIS matters beyond one name — it can set the clearing price for every levered neocloud that needs the capital markets to outrun depreciation and interest.

CRWV is the cleaner second-order short because its balance-sheet intensity makes the equity more fragile to even a modest widening in credit spreads or a pause in new issuance. By contrast, NVDA and, to a lesser extent, META are insulated: they still benefit from compute demand, but the market may start discounting how many neocloud orders are truly self-funding versus financed demand. If the funding window tightens, vendor concentration risk shifts from hardware demand growth to receivables/working-capital timing and delayed expansion orders.

The contrarian view is that this can overshoot. As long as hyperscaler and enterprise AI demand stays tight, backlog can remain real even if the equity tape is ugly; the key is whether management can convert contracted demand into operating cash before the next refinancing wall. The thesis breaks if NBIS can hold the post-gap range and show that incremental capacity is arriving without new dilution or debt acceleration over the next 1-2 quarters.
