OCI Global Reports H1 2026 Results

OCI Global reported H1 2026 net profit attributable to shareholders of just $1 million, down from $343 million a year earlier, as a $238 million OCI Ammonia Holding disposal gain was largely offset by a $215 million non-cash impairment at OCI Nitrogen. OCI Nitrogen revenue declined to $534 million from $566 million, while its net loss widened to $175 million from $12 million; July-August adjusted EBITDA was about $8 million and free cash flow was negative $16 million amid gas-cost and product-price pressure. Average European gas prices in Q3 through mid-September were approximately 40% above Q2 levels, while ammonia and CAN prices were about 20% and 10% lower, respectively. OCI holds $1.05 billion of net cash and is progressing a proposed Orascom Construction combination, alongside an NNS cash offer of EUR 4.10 per share and an agreed sale of 50% of OCI Nitrogen to AGROFERT targeted for H2 2027.

Analysis

OCI is now principally an event-driven cash-and-residual-liability vehicle rather than a fertilizer equity. The relevant valuation question is whether the market discounts the €4.10 cash route for timing, legal process, and potential leakage from corporate costs and contingent obligations—not whether European nitrogen margins recover. The Enterprise Chamber decision expected next week is the nearest binary catalyst; absent an adverse ruling, the October 30 shareholder vote and November 17 offer deadline should progressively compress any material discount to cash.

The weak nitrogen backdrop raises the probability that the AGROFERT transaction is ultimately priced off a depressed asset value, limiting any residual upside for holders choosing the combination over cash. More importantly, negative cash generation at the remaining operating asset means a prolonged closing timetable creates value leakage through working capital, maintenance, advisory costs, and the Fertiglobe contingency. A nitrogen rebound would improve residual-value optics, but it is unlikely to be the dominant driver over the next 1-3 months.

For European fertilizer equities, the margin squeeze is more informative for Yara (YAR.OL) than for global peers CF and NTR: European gas exposure and fixed-cost absorption create sharply negative operating leverage when gas rises without nitrogen-price pass-through. The potential supply curtailments are a medium-term support to ammonia/CAN pricing, but only if demand normalizes; curtailed output alone does not repair margins when industrial offtake remains impaired. WDS receives a modest de-risking benefit from removal of construction close-out uncertainty, but this is too small relative to its LNG and oil exposure to support a standalone position. MX has already absorbed the former OCI-shareholder block-sale overhang; its next rerating remains driven by methanol spreads, not OCI's completed monetization.

Key Decisions for Investors

  • Merger-arbitrage watch: buy OCI.AS only if it trades at a discount to the €4.10 cash offer large enough to annualize above 10-12% through the expected Q4 close, after confirming tender mechanics and no new Enterprise Chamber remedy. Primary catalysts are the October 7 court decision and October 30 EGM; thesis is falsified by an adverse ruling, failed shareholder approval, or an offer extension without a compensating price increase.
  • Maintain/establish a 1-3 month relative short in YAR.OL versus long CF or NTR, sized modestly. Yara has greater European gas-cost and utilization sensitivity, while North American producers retain structurally cheaper feedstock; cover if TTF falls materially or European ammonia/CAN pricing begins rising faster than gas for several consecutive weeks.
  • Do not infer a new long signal in WDS from project handover completion. Reassess only if management quantifies a release of retained project cash or reduced contingent liabilities large enough to alter 2027 free-cash-flow guidance; otherwise LNG pricing and capital-allocation decisions dominate.
  • Avoid using MX as an OCI-related trade. The removal of a known block seller marginally improves technicals, but a long requires independent confirmation of improving methanol margins or constructive 2027 guidance.
