Nordique gets approval for Kwyjibo rare earth project deal
Source: Investing.com

Nordique Critical Metals received final TSX Venture Exchange approval to earn up to an 80% interest in Québec’s Kwyjibo Rare Earth Project from SOQUEM. Phase I provides for a 60% interest over five years for C$23.15 million, including C$12 million in project development; Phase II offers an additional 20% over three years for C$22 million. Nordique will operate the project, which remains subject to a 1.5% net smelter return royalty, and filed an amended preliminary economic assessment technical report.
Analysis
The approval improves transaction certainty, not project certainty. NQC still has to convert a long-dated earn-in into financeable resource, metallurgy, permitting and Indigenous-agreement milestones; the staged structure limits immediate cash outlay but leaves shareholders exposed to years of execution risk. The share consideration creates potentially material dilution, but its scale cannot be assessed without the current share count and issuance schedule. Do not treat the share caps as evidence that dilution is immaterial.
The 1.5% net smelter return royalty is a lasting claim on project revenue: if economics strengthen, it can still reduce project value and complicate financing. SOQUEM’s participation may help with Québec stakeholder credibility, but it is not a substitute for independent technical validation or an approved project. The amended PEA addresses exchange comments; absent revised economics, it should not be read as a project de-risking event.
Near term, expect the approval itself to have limited fundamental value beyond reducing transaction uncertainty. Over 1–3 months, watch for funding terms, work-program execution and substantive PEA/technical updates. Over 6–18 months, metallurgy, drilling, permitting and progress on an impacts and benefits agreement will determine whether the option has real value. A failed or delayed milestone could strand capital and weaken the case for later earn-in phases. Broader rare-earth interest may support sector sentiment, but it does not establish Kwyjibo’s cost position or customer demand.

Key Decisions for Investors
- NQC: do not chase the approval headline; keep it on a speculative watchlist rather than treating it as a de-risked development asset. Reassess after reviewing the amended PEA economics, current share count, cash runway and near-term financing plan.
- Set a catalyst alert for assay results, metallurgical recoveries, an Indigenous impacts and benefits agreement, environmental-permit progress and feasibility-study funding. These are more meaningful valuation triggers than exchange approval.
- If considering an entry, size for junior-miner financing and execution risk; avoid assuming Phase II is automatic. Revisit the thesis if work commitments slip, financing materially expands the share base, or updated technical economics cannot support the royalty burden.
- Falsifiers of the cautious view: independently verifiable technical results and project economics that improve confidence in recoveries and viability, alongside credible financing and tangible permitting and agreement progress.
