In BDCs, governance and legal overhang matter because they directly affect cost of capital: if investors assume elevated advisory risk or fee leakage, the equity can trade at a persistent discount regardless of reported NAV. That keeps refinancing optionality and accretive issuance off the table, which is a hidden negative for future per-share NAV growth.

Any externally managed credit vehicle with related-party complexity can see its multiple compress, especially if the case creates discovery around valuation marks, fee arrangements, or parent-level incentives. Cleanly run peers with stronger dividend coverage and fewer governance questions should benefit from a relative rotation, while weaker BDCs may see the sector discount widen as investors demand more compensation for legal and mark-to-market opacity.

The key risk is that the headline discount looks “cheap” only if the distribution is durable and litigation is contained. If legal costs, reserve builds, or a small NAV impairment hit coverage, the high yield can become a value trap and force another leg lower over the next 1-3 quarters. Conversely, a quick resolution or favorable early procedural ruling could tighten the discount fast, but absent that, the burden of proof is on management to show stable NII and no dividend pressure.
