That creates a competitive squeeze on subscale North Sea operators that cannot match reinvestment rates without stretching leverage.

The second-order effect is a likely multiple rerating if the combination closes cleanly: investors usually pay up for “single-asset risk” reduction and cleaner capital return visibility. But that rerating should be capped unless the combined entity proves it can sustain production beyond the current commodity tailwind; if Brent or European gas softens, the cash-flow surge can fade faster than the market expects, and leverage optics will matter again.

This is more of a 1-3 month catalyst than a one-day event. Near term, the stock should trade with de-risking and any merger-spread tightening; over 6-18 months the key question is whether the enlarged platform becomes a consolidator or just a larger proxy for North Sea commodity beta. The contrarian view is that the market may be overestimating how much M&A scale changes intrinsic value in a mature basin with heavy fiscal and decline-rate constraints. Falsifiers: delayed approvals, equity issuance to fund the deal, or a sharp $10-15/bbl drop in Brent that breaks the deleveraging narrative.
